IPO and company development

Blockchain.com confidentially filed for a U.S. IPO with the SEC on May 21, 2026. The IPO date, share price, and exchange are still unknown, with late 2026 as the most reasonable window: Q3 is possible, Q4 may be more realistic.


As of 10/2025, Blockchain.com is considering going public via a SPAC listing and has appointed an advisor for this purpose.


In 02/2024, Blockchain.com took new steps toward a potential initial public offering (IPO) by appointing two seasoned executives with financial and operational expertise. Blockchain.com hired Justin Evans, who previously worked at Goldman Sachs, as its new chief financial officer, and Mike Wilcox, previously CFO of Velocity Global and former Point72 portfolio manager, as its chief operating officer.


In 11/2023 Blockchain.com closed a $110M Series E financing round, an investment that more than halves its 02/2022 valuation of $14B. The $6B valuation and $65 pps are estimations, based on unofficial data.


In 03/2022, Blockchain.com became a decacorn with a Series D round bringing the company a $14B valuation. Three months earlier, Fortune had anticipated a $18-20B valuation and a $400M deal size.


In 04/2022 the press speculated about the company’s IPO at the end of the year. Bloomberg reported that the startup was holding the necessary negotiations with banks. Bloomberg cited people "close to the company". The same source said that the IPO might be delayed to 2023 and Blockchain.com's plans might change.


In 05/2022 the CEO of the company denied such speculation. He explained that Blockchain.com was indeed negotiating with banks, but that it related to acquisition deals and the investment round. At the same time Peter Smith said Blockchain.com “will be a public company someday – and probably sooner than later”, but an IPO would not result in an «exit» for him and would not lead to the «end of company development».


"If you want to go public, you must be prepared for the market fluctuations. If you keep thinking “I should have raised funding in the first quarter instead of the second”, you will go crazy. When working with crypto, you need to think in the terms of 5 or even 10 years," said Peter Smith.


The company will increase its spendings on promotion, especially in the US. Historically, Blockchain.com has spent effectively "zero" on marketing, according to Smith. He estimated that the firm could spend around $50 to $70M in 2022. 


Even though Blockchain.com originated from the UK, the company decided to relocate ahead of the change in regulation in the country at the end of 03/2022. Many crypto companies acted in the same way to avoid the extra cost of obtaining a license from the UK's Financial Conduct Authority's (FCA). Blockchain.com continued to operate in Europe through its subsidiary in Lithuania. According to the Block portal, the company is a registered business both in the US and Ireland, and holds regulatory permissions from the regulator in Germany.
