IPO plans
Klarna became public on 10/09/2025 on the NYSE exchange under the ticker KLAR.
On 09/09/2025 Klarna priced its IPO at $40 per share, above its expected range, in a deal that values it at about $15B.
Klarna plans to sell 5.6M shares, while existing shareholders, including Sequoia Capital and Heartland A/S, will offer 28.8M shares.
14/03/2025 Klarna announced that it has publicly filed a registration statement on Form F-1 (the “Registration Statement”) with the U.S. Securities and Exchange Commission (the “SEC”) relating to a proposed initial public offering of its ordinary shares. The number of shares to be offered and the price range for the proposed offering have not yet been determined. Klarna has applied to list its ordinary shares on the New York Stock Exchange under the symbol “KLAR.”
In 11/2024 Klarna confidentially submitted a draft Registration Statement on Form F-1 to the Securities and Exchange Commission relating to the proposed IPO of its ordinary shares. The number of shares to be offered and the price range for the proposed offering have not yet been determined. The IPO is expected to take place after the SEC completes its review process, subject to market and other conditions.
In 11/2023 Klarna began a legal entity restructuring to set up a new holding company in the U.K., "as a precursor to an eventual IPO", CNBC wrote. But Klarna has no immediate plans to go public, a spokesperson said, and setting up its new legal entity in the U.K. does not necessarily mean that the company will list there. Klarna told Dow Jones Newswires that the process is an important early step on a journey toward an eventual floatation. However, Klarna could still opt not to float in London and instead turn to New York.
The restructuring “is an administrative change that has been in the works for over 12 months and does not affect anyone’s roles, nor Klarna’s Swedish operations,” the Klarna spokesperson told CNBC via email.
"Klarna Holding will continue to be the regulated financial holding company under the direct supervision of the [Swedish Financial Supervisory Authority] and we will continue to hold a Swedish banking license. This entity would be registered in the U.K.," a Klarna spokesperson said to Dow Jones.
The company could secure an IPO valuation of between $15B and $30B in 2024, according to Sky.
In 01/2024 Bloomberg reported Klarna may soon launch a stock market listing in the US, according to Chief Executive Officer Sebastian Siemiatkowski. “It’s very likely that this is going to happen quite soon, but there are no official dates,” he said in a video interview with BNN Bloomberg in Canada.
02/2024 Fortune: "When I ask about the IPO-shaped elephant-in-the-room, Siemiatkowski is clear on the plan, and flexible on the timeline: He wants to take the fintech giant public, and does believe that Klarna will be ready for that next step—when the company takes it".
As of 02/2024 Klarna is preparing for the IPO at $20b valuation.
As of 03/2024 Klarna hasn’t yet chosen where and exactly when it will sell shares. But it is preparing for an initial public offering “quite soon.”
“I always look to the Google IPO and I feel that was a perfect IPO,” Sebastian Siemiatkowski said. “You had a company who had proven itself, it had proven its business model. It was a global company, but it was also a company who had the majority of its growth ahead of itself, right. And I think that that’s been the timing we’ve been looking for.”
“It’s important that we have met the criteria that we have set up for ourselves to IPO,” Siemiatkowski said. “I hope that we will be able to make it happen quite soon.”
In 05/2024 Siemiatkowski told Bloomberg that Klarna is "definitely ready for an IPO". Klarna is leaning toward listing in the US, he said. A move to set up a new UK-based holding company as part of the IPO preparations gives it flexibility on any listing, the CEO said.
07/2024 update: Klarna is lining up financial advisers for a long-awaited initial public offering in the US. Morgan Stanley, JPMorgan and Goldman Sachs were in lead positions to secure top roles working on the potential listing. An IPO could come as soon as 1H2025. It remains unclear what valuation the company could seek in an IPO.
