The structural position points away from a listing rather than towards one. A chief financial officer recruited from a succession of listed issuers is the single fact that reads as preparation, and it is the only one: the holding company incorporated in 2025 sits beneath the operating business as an inventory and borrowing vehicle rather than above it as a listing entity, the secured facility arranged that December is working capital against house stock with three-quarters still undrawn — standby capacity a company heading to market would not ordinarily need — and a chief legal officer and three independent directors are explicable by regulatory exposure alone. Taken together the pattern is professionalisation and growth financing at a profitable, self-funding business. Set against an ordinary share price roughly half below its own 2021 peak and a principal market resting on a regulatory carve-out under parliamentary examination, both argue for remaining private until the mark recovers and the rules settle.
